TERMS AND CONDITIONS

1. Advertisements - means the graphic file supplied by an advertising client.

2. Advertiser - means the individual or entity listed on this agreement.

3. Advertising Rate - The rate indicated on the contract will be governed by the current rate sheet of RSM Inc. and may not be modified except by an authorized representative of RSM Inc.

4. Advertising Space - means the space reserved on the RSM Inc. website (esportsdesk.com) for the Advertiser's message.

5. Delivery of advertising - all advertisements or text must be delivered to a location specified by RSM Inc. no later than ten business days prior to the scheduled start date.  The Advertiser agrees to indemnify and save harmless RSM Inc. from any liability, loss and expense of any nature arising out of the delay of delivery of any graphics, text display and illustrations supplied by the advertiser.

6. Developments - All website developments remain the property of RSM Inc.

8. Entire agreement - This agreement is a legally binding contract upon acceptance by RSM Inc. RSM Inc. agrees to provide and the Advertiser agrees to accept the services of RSM Inc. at the charges indicated herein.  This agreement constitutes the entire agreement between the parties and hereby replaces and amends any prior agreements between the parties hereto.

9. Link - means a request for information from another website via the RSM Inc. website.

10. Prices - Prices DO NOT include applicable taxes.

11. Right to refuse unacceptable advertising - RSM Inc. reserves the right to refuse any advertisement it deems inappropriate or that does not conform to its graphic specifications.  RSM Inc. will not accept any websites or advertisements that include pornography, violence or hate (this is not an exhaustive list).  All graphics must be within the file size and dimension restrictions listed in this agreement.  RSM Inc. may request changes to any advertisement it deems unacceptable.  Such a request does not constitute a termination of this agreement and will not affect the enforceability of any of its provisions.

12. Responsibility of copy - The Advertiser agrees to indemnify and save harmless RSM Inc. from any liability, loss and expense of any nature arising out of the display of any graphics, text, display and illustrations supplied by the Advertiser.

13. Start and End Dates - The Start Date indicates the first date the Advertisement is to appear on the RSM Inc. website.  The End Date is the last day the Advertisement is to appear on the RSM Inc. website.  Despite the dates entered on the order form, this contract is only valid for one year from the entered Start Date.  Advertisements may take up to 3 days before they actually appear on the RSM Inc. website.  If RSM Inc. is creating the banner ad file for the Advertiser, it may take up to 14 days before the actual banner ad appears on the RSM Inc. website.

14. Term Guarantee - RSM guarantees that the advertising space specified on this agreement will be available for the length of time (start date to renewal date) stipulated herein.

15. Upgrading of advertisement - after entering into this agreement, the Advertiser may request an upgrade of the advertisement space no later than ten business days prior to the mid-point of the agreement from the start date indicated.  An upgrade of advertisement space will constitute a termination of this agreement and a commencement of a new agreement at the rates and on the terms in effect at the time of the upgrade.  The upgrade will commence at the mid-point of this agreement from the start date.  The difference between the former advertising rate and the new advertising rate will be calculated and invoiced to the advertiser accordingly.  The advertiser may not request a downgrading of advertising space during the tenure of the agreement.  Any requested change to a development must be received in writing.
